Terms of Service

Effective November 1, 2026 · Version 2026-11-01

These Terms of Service (“Terms”) are an agreement between you and JV Clinical Technologies LLC, a Florida limited liability company (“JV Clinical Technologies,” “we,” “us”). They govern your use of Smart Behavior Plans (the “Service”). By creating an account or using the Service, you agree to these Terms, our Privacy Policy and, for centers, our Data Processing Agreement. If you use the Service for a center, program or other organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization.

1. Who may use the Service

The Service is for childcare centers, early learning programs, their staff, and individual early childhood educators and consultants. You must be at least 18 and able to enter a binding agreement.

2. What the Service is, and is not

The Service helps educators document classroom behavior concerns, build behavior support plans from clinician-designed strategy content, track progress, prepare incident reports and parent messages, and coach staff.

It is an educational and administrative tool. It does not diagnose any condition, provide medical, psychological or therapeutic treatment, or replace evaluation by a qualified professional. Its content is general guidance for educators and may not fit every child. Your staff remain responsible for children's safety and supervision and for decisions about each child. The Service does not replace your center's policies, licensing requirements, or your obligations to report suspected abuse or neglect. In an emergency, call 911. If you are worried about a child's development, health or safety, refer the family to an appropriate professional.

3. Children's information

Identify children by initials or a center-assigned ID, not by full name, and enter only what you need to support the child. Do not enter medical records, diagnoses, government identifiers or other sensitive details the Service does not ask for. Describe other children only in general terms. You are responsible for having the right to enter the information you enter, including any notice to or consent from families required by your licensing rules, policies or applicable law. Our handling of these records is described in the Data Processing Agreement.

4. Accounts, staff and access

Keep your sign-in details confidential; you are responsible for activity under your account. A center's owner or director manages its staff, their roles and classroom access, and its plan and billing. Remove staff promptly when they leave. Each plan includes a maximum number of staff accounts, shown on the Pricing page.

5. Free trial

New accounts receive one free trial of 7 days that includes 3 support bundles. No payment card is required, and the trial does not turn into a paid plan automatically. When the trial ends, you can keep viewing and editing your records, but creating new support bundles requires a paid plan. One trial per center or educator.

6. Plans, fees and automatic renewal

Paid plans are billed monthly or annually in U.S. dollars (Individual Educator: $19/month or $190/year; Childcare Center: $59/month or $590/year; Center Plus: $99/month or $990/year), plus any applicable taxes. Payments are processed by Stripe; we do not receive or store your full card number.

Your plan renews automatically at the end of each monthly or annual billing period, and the plan price is charged to your payment method on file, until you cancel. Each plan includes a number of support bundles added every month. Bundles have no cash value and are not transferable. Editing and printing do not use bundles.

Price changes. We may change prices for future billing periods. We will tell the account owner by email at least 30 days before a price increase takes effect, and you may cancel before then.

7. Cancellation and refunds

You can cancel anytime from Billing in the Service. Cancellation takes effect at the end of the current billing period; you keep access until then and are not charged again. We do not provide refunds or credits for partial billing periods or unused bundles, including for annual plans. If we charge you in error, we will refund the error. Nothing in these Terms limits any refund right you have under applicable law.

8. Acceptable use

Do not use the Service unlawfully; enter information you are not permitted to share; access or try to access other centers' accounts or records; interfere with, overload or probe the Service; upload malicious content; share sign-ins or exceed your plan's staff limit; resell the Service; or copy, reverse engineer or build a competing product from it, except as the law allows.

9. Your records and our content

Your center keeps ownership of the records it enters and the documents it creates. You give us permission to store and process them only to provide the Service to you, as described in the Data Processing Agreement. We do not sell them or use them to train AI models. The Service, its software and its strategy, coaching and training content are owned by JV Clinical Technologies LLC and its licensors. While your account is in good standing, you may use, print and share that content within your program to support the children and families you serve, but not republish or sell it. If you send us suggestions, we may use them without obligation to you.

10. Availability, suspension and termination

We work to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may suspend or close an account that violates these Terms, creates a security risk, or has unpaid fees, and we will tell you when we can. You may close your account at any time. Before closing, you can print your documents or save them as PDFs; after closure we delete your records as described in the Data Processing Agreement. Sections that by their nature should continue after termination (including 2, 3, 9 and 11 to 14) continue.

11. Disclaimers

To the fullest extent permitted by law, the Service and its content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that any strategy or plan will change a child's behavior or suit a particular child.

12. Limitation of liability

To the fullest extent permitted by law, JV Clinical Technologies LLC and its members, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service or these Terms, even if advised of the possibility. Our total liability for all claims related to the Service or these Terms is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim.

13. Indemnity

You will defend and indemnify JV Clinical Technologies LLC against third-party claims, and related losses and reasonable costs, arising from information you entered without the right to do so, your use of the Service's output, or your violation of these Terms or the law.

14. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days after written notice. Any lawsuit must be brought in the state or federal courts located in Florida, and both parties consent to their jurisdiction. Either party may seek relief in small claims court where eligible.

15. Changes to these Terms

We may update these Terms. For material changes we will notify the account owner by email or in the Service at least 30 days before they take effect. Continuing to use the Service after the effective date means you accept the updated Terms.
